Our Services
- Incorporation. Formation under the Companies Law, Cap. 113, including the objects clause, first officers and share capital.
- Memorandum and articles. Model articles suit most companies. Where ownership is shared, or shareholders want particular arrangements between them, articles are drafted to suit.
- Share classes and class rights. Ordinary, preference, non-voting and redeemable shares, and classes distinguished by dividend or appointment rights. We design the structure, draft the rights and handle later variations.
- Shareholders' agreements. Articles are public and bind everyone. A shareholders' agreement is private and binds only the parties, but can cover funding, restrictive covenants, exit mechanics and voting undertakings that articles cannot.
- Group and family structuring. Holding companies, separation of trading from property or investment assets, arrangements that divide ownership from management, and expansion into new markets.
- Partnerships and joint ventures. General and limited partnerships under Cap. 116, and contractual joint ventures.
- Changes to an existing structure. Admitting an investor, creating a management class, buying out a shareholder, varying rights, restructuring a group.
